Terms of Service

These terms govern your use of esmia.org ("ESMIA"), a technology platform operated by Haydamax OÜ, Tallinn, Estonia. By creating an account or using the site you agree to these terms.

1. What ESMIA is

ESMIA provides self-directed access to a securities brokerage account established at Alpaca Securities LLC (member FINRA/SIPC). ESMIA itself is not a broker-dealer, does not hold client money or securities, and does not provide investment advice or recommendations. The brokerage relationship is governed by Alpaca's Customer Agreement, which you accept when activating investing; see Disclosures.

2. Eligibility

You must be at least 18 years old and legally able to enter into a brokerage agreement in your jurisdiction. You must provide accurate, current information during account opening and keep it up to date. We may refuse, suspend or close platform access where required by law, by our brokerage partner, or to protect the service.

3. Your account

You sign in with a Chakloon ID. You are responsible for keeping control of your sign-in credentials and for all activity in your session. Notify us immediately of any unauthorised use.

4. Orders and market data

Orders you submit through ESMIA are transmitted to Alpaca for execution. Estimates shown before you place an order are indicative; execution prices can differ. Market data is provided for personal use and may be delayed or adjusted by its originators. During the current rollout phase the platform operates against a brokerage sandbox environment; this is stated on the site while it applies.

5. Fees

ESMIA charges no commission on stock and ETF trades. Regulatory and pass-through fees of the brokerage partner may apply as set out in the Brokerage Fee Schedule in the Disclosures.

6. Risk

Investing involves risk, including possible loss of the entire amount invested. Nothing on the platform is a recommendation. You alone are responsible for your investment decisions.

7. Acceptable use

You may not use ESMIA for unlawful activity, market abuse, attempts to disrupt or reverse-engineer the service, or access by automated means except through interfaces we provide.

8. Liability

To the extent permitted by law, Haydamax OÜ is not liable for indirect or consequential losses, for market losses, or for outages of third-party services (including brokerage, market-data and identity providers). Your statutory rights remain unaffected. Nothing in these terms excludes liability that cannot be excluded by law.

9. Changes and termination

We may update these terms; material changes will be announced on the site. You may stop using the platform at any time; closing your brokerage account is handled with our brokerage partner in accordance with its Customer Agreement.

10. Governing law

These terms are governed by the laws of the Republic of Estonia. The brokerage relationship with Alpaca is governed by the agreements referenced in Disclosures. Contact: office@haydamax.com.
